Adaptation of conversion ratio and conversion price for
dividend payment 2010/2011
EUR 283,450,00 2.50% Convertible bond due 2016 with conversion right
into ordinary bearer shares (non-par value shares) of Südzucker AG

Notice according to Article 10 (13) and Article 18 of terms and conditions
related to Article 10 (4) B of terms and conditions
The Annual General Meeting of Südzucker AG on 21 July 2011 has resolved a
cash dividend of EUR 0.55 per share of Südzucker AG for financial year
2010/2011.
Hereby Südzucker AG Mannheim/Ochsenfurt announces on behalf of Südzucker
International Finance B V, Oud-Beijerland, that conversion price
of the convertible bond is being adjusted due to a cash dividend according
to Article 10 (4) B and Article 10 (11) of the terms and conditions.
According to Article 10 (12) of terms and conditions there is a cash
dividend of EUR 0.55 per Südzucker AG ordinary share for financial year
2010/2011. This results in an adjustment of conversion price of so far EUR
17.8454 (prior conversion price) to now EUR 17.4627 (adjusted conversion
price). Accordingly conversion ratio is being adjusted from 2,801.8394
shares per bond (prior conversion ratio) to now 2,863.2480 shares per bond
(adjusted conversion ratio).
