The shares described therein havealready been subscribed for. The shares were validly and legallyissued, fully paid-up and properly registered in the Share Registermaintained by the Company, which is the relevant register underBermuda law.Giving rise to the prospectus was an issue of 27,027,027 shares asthrough a private placement. These new shares are ordinary shares ofScorpion Offshore Ltd. with a par value of USD 0.002 per share. Theshares were issued in March 2009 pursuant to a board resolution on 26January 2009. The shares were issued against cash at a price of NOK16 per share.
