(firmenpresse) - TORONTO, ONTARIO -- (Marketwired) -- 12/18/14 -- Alpha Infrastructure LLC ("Alpha" or the "Company") announced today that it has acquired ownership and control over 13,333,333 common shares (the "Purchased Shares") of GB Minerals Ltd. ("GB Minerals"), at a price of $0.075 per common share. The Purchased Shares were acquired pursuant to a private placement offering of 40,000,000 common shares of GB Minerals which closed on December 15, 2014 and were subject to the terms of a subscription agreement dated November 27, 2014.
Prior to the completion of the Private Placement, Alpha owned 46,540,979 Common Shares (the "Existing Shares") of GB Minerals representing 21.9% of GB Mineral's issued and outstanding Common Shares.
Following completion of the Private Placement, Alpha's ownership of the Purchased Shares and the Existing Shares results in Alpha having control over 59,874,312 common shares of GB Minerals representing 23.7% of GB Mineral's share capital.
The Purchased Shares were acquired by the Company for investment purposes. The Company may from time to time, increase or decrease its ownership of securities of GB Minerals depending upon future market conditions.
