Songa Offshore has prepared aprospectus dated 21 July 2009 (the "Prospectus") in connection withthe listing of 18,080,000 new shares on the Oslo Børs stock exchange,each with a nominal value of Euro 0.11, placed in a Private Placementcompleted on 18 June 2009 at a subscription price of NOK 23.70 pershare, raising total gross proceeds of NOK 428.5 million.The 18,080,000 shares issued in the Private Placement have sincetheir issuance been registered on a separate ISIN.
