Cogitore Resources Announces Completion of Share Consolidation and Name Change to CR Capital Corp.
(firmenpresse) - TORONTO, ONTARIO -- (Marketwired) -- 03/23/15 -- Further to its news release dated January 30, 2015, Cogitore Resources Inc. ("Cogitore" or the "Company") (NEX: WOO.H) is pleased to announce that, effective March 26, 2015, its name will change to CR Capital Corp. The Company also announces that the completion of its previously approved consolidation of its common shares (the "Common Shares") will also take effect on market open on March 26, 2015. At a special meeting of shareholders held on December 22, 2014, shareholders of the Company approved a consolidation of the Common Shares on the basis of one post-consolidation Common Share for every 10 pre-consolidation Common Shares then issued and outstanding. The Company will not issue any fractional Common Shares as a result of the consolidation. Instead, all fractional shares will be rounded down and cancelled. Letters of transmittal were mailed to shareholders to use to exchange their pre-consolidation Common Shares for post-consolidation Common Shares. A copy of the letter of transmittal is filed on the Company's SEDAR profile at .
It is anticipated that the post-consolidated Common Shares will commence trading on the NEX board of the TSX Venture Exchange under the new name and ticker symbol (CIT.H) on March 26, 2015, at which time the CUSIP and ISIN numbers of the Company will change to 22411L100 and CA22411L1004, respectively.
