Gold Canyon Announces Annual General & Special Meeting of Shareholders and Deadline for Nominations for Election as Director
(firmenpresse) - VANCOUVER, BRITISH COLUMBIA -- (Marketwired) -- 04/02/15 -- Gold Canyon Resources Inc. (TSX VENTURE: GCU) (OTC: GDCRF) ("Gold Canyon" or the "Company") announces that it will hold an annual general and special meeting of shareholders (the "Meeting") on Thursday, June 11, 2015. The record date for the shareholders entitled to vote at the Meeting has been set as shareholders of record as at the close of business on April 29, 2015.
Last year the board of directors of the Company (the "Board") approved, and the Company's shareholders subsequently ratified, an advance notice policy (the "Advance Notice Policy") for the purpose of providing shareholders, directors and management of Gold Canyon with a clear framework for nominating directors in order to: (i) facilitate an orderly and efficient annual general or, where the need arises, extraordinary meeting, process; (ii) ensure all shareholders receive adequate notice of the director nominations and sufficient information with respect to all nominees; and (iii) allow shareholders to register an informed vote having been afforded reasonable time for appropriate deliberation.
The Advance Notice Policy includes, among other things, a provision that requires advance notice be given to the Company in circumstances where nominations of persons for election to the board of directors of the Company are made by shareholders of the Company at any upcoming meeting of shareholders. For purposes of the Meeting, in accordance with the terms of the Advance Notice Policy, the Board has determined that notice of nominations of persons for election to the Board at the Meeting must be made by Monday, May 11, 2015.
