New Look Eyewear Announces Results from Annual and Special Meeting and Confirms Name Change to New Look Vision Group Inc.
(firmenpresse) - MONTREAL, QUEBEC -- (Marketwired) -- 05/07/15 -- New Look Eyewear Inc. (TSX: BCI) (the "Corporation") announced today that it has received shareholder approval in respect of all resolutions voted upon at its Annual and Special Meeting of Shareholders of the Corporation held earlier today in Montreal (the "Meeting").
In particular, all nominees listed in the management information circular dated March 26, 2015 were elected as directors of the Corporation. The detailed results of the voting for each nominee are as follows:
The proposed name change of the Corporation to "New Look Vision Group Inc. / Groupe Vision New Look Inc." was approved by the required voting threshold at the Meeting. The name change of the Corporation will become effective on or about June 1, 2015 and, subject to TSX final approval, it is anticipated that the Corporation's Class A common shares will commence trading on the TSX under its new name on or about June 1, 2015. The Corporation's trading symbol (TSX: BCI) will remain unchanged.
In addition, the proposed approval of all unallocated options under the Corporation's Stock Option Plan as well as the proposed reconfirmation of the fixed maximum percentage of Class A common shares of the Corporation issued and outstanding from time to time issuable pursuant to options granted under the Corporation's Stock Option Plan were passed by the required voting threshold at the Meeting.
Lastly, the proposed filing of articles of amendment in order to change the required voting threshold at the Corporation's shareholders' meetings was also approved by the required voting threshold at the Meeting.
As of April 30th, 2015, New Look had 13,359,830 Class A common shares issued and outstanding. New Look is a leader in the eye care industry in Eastern Canada having a network of 193 corporate stores mainly under the New Look, Vogue Optical and Greiche & Scaff banners and laboratory facilities using state-of-the-art technologies.
