On 27 November 2013, Flakk Holding AS sold 6,000,000 shares in Hexagon
Composites ASA at a price of NOK 24.50 per share. Flakk Holding AS
simultaneously entered into a forward contract to buy back 6,000,000 shares at a
future date. The said forward contract, which became due 20 May 2015, has today
been extended to 20 August 2015 at a forward price of NOK 26.1354 per share.
Flakk Holding AS is a company controlled by Mr. Knut Flakk, which is Chairman of
Hexagon Composites ASA. Flakk Holding AS and its subsidiary Flakk Invest AS
holds 40,115,988 shares in Hexagon Composites ASA which constitutes 30.10% of
the total shares, but retain exposure to 46,115,988 shares which is equal to
34.60% of the shares in Hexagon Composites ASA when the forward contract is
included.
