Notice of early redemption of ORANE
Publicis Groupe [Euronext Paris: FR0000130577, CAC40] announced today that the
holders of the 1 562 129 ORANE of nominal value 244 euros each, ISIN code
FR0000187783 issued on 24 September 2002, the terms and conditions of which are
contained in an information memorandum which received the visa number 02-564
issued by the Commission des Opérations de Bourse on 16 May 2002 (the "Issuance
Agreement"), convened in general meeting on 19 June 2015, unanimously approved,
among holders present or represented by proxy at the meeting, the amendment to
the Issuance Agreement providing for the early redemption of all outstanding
ORANE at the option of the Company. The modification was also approved by the
shareholders in general meeting on 27 May 2015.
The Company has decided to proceed with the early redemption of the ORANE on 15
July 2015, on the basis of 8.12 shares per ORANE according to the redemption
parity adjusted in October 2013. Each ORANE holder will be eligible to receive
such number of shares as derived by multiplying the number of ORANE held by
8.12 and will have the option of obtaining either:
- such number of shares rounded down to the nearest whole number, in which
case such holder will be paid an amount in cash equal to the product of the
fractional share remaining and the average opening trading prices of the
Company's shares quoted on Euronext Paris for the twenty trading days prior to
the redemption date (default position); or
- such number of shares rounded up to the nearest whole number, in which case
such holder will pay to the Company an amount in cash equal to the value of the
fractional share requested, calculated on the basis provided above.
It is to be noted that the Company will use, for purposes of the redemption of
ORANE, existing Publicis shares.
The Company will on the redemption date pay in cash the coupon accrued up to 15
July 2015, calculated prorata temporis from 1 September 2014 until the
redemption date, i.e., an amount of 6.98 euros.
A Euronext notice will provide further details on the timetable as well as the
technicalities associated with the redemption of ORANE.
At the Company's request, the trading of the ORANE on Euronext Paris is halted
from 23 June 2015 until the redemption thereof.
The authorized intermediary in charge of financial services for the ORANE and of
centralizing requests for redemption in Publicis shares is CACEIS Corporate
Trust, 14 rue Rouget de Lisle, 92862 Issy-les-Moulineaux CEDEX 09.
