Intrafina Ltd. Files an Early Warning Report in Connection With Global SeaFarms Corporation
(firmenpresse) - MONTREAL, QUEBEC -- (Marketwired) -- 07/02/15 -- Intrafina Ltd. ("Intrafina") would like to announce that on June 30, 2015, it acquired control and direction over an aggregate of 100,000,000 Class A shares (the "Class A Shares") of Global SeaFarms Corporation ("GSF") pursuant to the exercise of a previously-issued convertible debenture of GSF in the amount of $1,000,000 (the "Convertible Debenture").
Prior to the acquisition of the Class A Shares described above, Intrafina did not hold any securities of GSF. The conversion of the Convertible Debenture therefore resulted in the acquisition by Intrafina of control over 100,000,000 Class A Shares, which represent an interest of 29.35% in GSF's currently issued and outstanding Class A Shares.
The foregoing securities are held for investment purposes and, in accordance with applicable securities laws, Intrafina may increase or decrease its investment in GSF depending on market conditions and other relevant factors.
Intrafina relied on the accredited investor exemption from securities legislation under Section 2.3 of National Instrument 45-106 respecting Prospectus Exemptions.
