Flakk Holding AS has entered into an agreement for the sale of 2,500,000 shares
in Hexagon Composites ASA to Nødingen AS on July 6th 2015. Flakk Holding AS and
Nødingen AS are both close associates of the Chairman of the Board of Hexagon
Composites, Mr Knut Flakk. The price per share was NOK 24.60, which equals the
end of day trading price on July 6th.
After the transaction, the total number of shares held by Mr. Knut Flakk and
close associates is unchanged, and consists of 45,729,038 shares in Hexagon
Composites, which equals approx. 34.31% of the shares of Hexagon Composites. In
addition, Flakk Holding AS holds a forward contract over 6 million shares in
Hexagon Composites.
Nødingen AS holds 7,300,000 shares after the transaction, which equals
approximately 5.48% of the total number of shares in Hexagon Composites ASA.
