The complaint alleges that the Company made misleading statements and/or failed to disclose that: (a) Marvell had engaged in inappropriate revenue recognition practices; (b) the Company's management permitted an inappropriate and ineffective control environment; (c) as a result, Marvell's key accounting metrics were misstated; and (d) the Company lacked adequate controls at all relevant times.
