In conformity with Article 55 of the Articles of Association, the Board of
Directors of Elcoteq SE has been requested to include a proposal from
shareholders of the company to the Extraordinary General Meeting to be held on
October 12, 2010, to elect Mr. Hannu Krogerus as a new member to the Board of
Directors of Elcoteq.
The proposal of the shareholders to elect Mr. Hannu Krogerus to the Board is
based on his long and unrivalled experience and knowledge of all matters related
to Elcoteq. Mr. Krogerus has given his consent to his election.
Mr. Hannu Krogerus, born 1949, LL.M., is a senior partner and founding member of
the Finnish law firm, Krogerus Attorneys Ltd. He has an extensive experience in
several positions and tasks in the field of corporate and commercial law and
also in the field of mergers and acquisitions. Since 2000, Mr. Krogerus has
concentrated on advising clients on large scale transactions, risk management,
and corporate governance. Moreover, Mr. Krogerus is responsible for the law
firm's international network and its development. His other key posts include
e.g. a member of the Board of Directors of Startex Oy (2001 -), a member of the
Supervisory Board of Savonlinna Opera Festival (1999 -) and a member of the
Board of Directors of Cramo Plc (2006 - 2010).
The election of Mr. Krogerus to the Board of Directors would increase the number
of Board members from current six (6) to seven (7) persons.
