Completion of the acquisition of 3CB
Direct Energie becomes owner and operator of a strategic power plant
The group Direct Energie, third largest gas and power supplier in France, is
pleased to announce today the finalisation of the acquisition of the entire
share capital of 3CB, french subsidiary of the swiss group Alpiq. Dedicated to
power generation, 3CB owns and operates a combined cycle gas turbine near Bayet
in the Allier region. Built in July 2011 by Ansaldo (Siemens technology), this
power plant is managed by 30 employees and has an installed capacity of 408 MW
As previously communicated, the transaction, fully paid in cash, amounts to
nearly ? 45m. The financing is secured with bond debt which has recently been
increased through a successful private placement with selected institutional
investors. The new bond program, with two tenors, aggregates ? 60m issued on the
last 24 November. The group reminds that the transaction will have no
significant impact on the 2015 Ebitda, and anticipates a dilutive revised impact
(? -3m) on the 2016 Ebitda based on current market prices.
This acquisition, made on attractive terms and in the context of a capacity
market to be implemented, supports the Group's vertical integration strategy.
Its upstream and downstream presence will improve the sourcing conditions of its
customer portfolio.
Next publication: The 2015 turnover will be released on 29(th) of February
before market.
