ING to sell remaining shares in NN Group

ING announced today its intention to sell its remaining 45.7 million ordinary
shares in NN Group. The ordinary shares will be sold by way of an accelerated
book building offering to institutional investors.
Following a successful completion of the transaction, ING Group will have fully
divested its stake in NN Group. The sale of ING's 14.1% stake is the final
transaction in ING's programme to divest all of its insurance and investment
management businesses as part of the restructuring agreement with the European
Commission as amended in November 2012. ING previously announced to sell its
remaining stake in NN Group before the end of 2016.
The offer price will be determined at the conclusion of the book building
process and will be announced in a separate press release. The book is open with
immediate effect and is expected to close ultimately by 17:30 CET on 15 April
2016, although ING Group reserves the right to close the book before then at
short notice. The transaction is expected to settle on 19 April 2016.
Credit Suisse, ING Bank, JP Morgan and UBS are acting as Joint Global
Coordinators for the offering.
