Theseshares represent the Board of Directors 4th quarter 2009 remuneration(6,255 shares) and grant of restricted shares to Scorpion employeesand Board of Directors (1,868,377 shares).The 1,874,632 shares issued are ordinary shares of Scorpion OffshoreLtd. with a par value of USD 0.002 per share. The addition of theseshares brings the total number of shares so admitted to 89,409,724.The shares were validly and legally issued, fully paid-up andproperly registered in the Share Register maintained by the Company,which is the relevant register under Bermuda law.Board RemunerationScorpion has, as informed in the company's Registration Documentdated 12 June 2006, its various unaudited quarterly financialstatements and its audited annual financial statements for the yearended 30 June 2007, given its Directors a choice to receive 50 % ofthe board compensation in shares of the company. For the fiscal yearended 30 June 2008, all directors elected to receive the maximumnumber of shares. Per the Scorpion Offshore Ltd.'s Non-EmployeeDirector's Compensation Plan approved by the Board on 10 February2006, the share price on the first trading day of the year was usedto compute the number of shares. The share price on 1 July 2008 wasNOK 82.00. For each fiscal year, aggregate Director compensation isreported by the Company in its quarterly financial statements. On 19November 2008 Scorpion issued shares as compensation to the Directorsfor the first quarter of the fiscal year ending 30 September 2008. On18 June 2009 Scorpion issued shares as compensation to the Directorsfor the second and third quarter of the fiscal year ending 30December 2008 and 31 March 2009. On 18 August Scorpion issued sharesas compensation to the Directors for the fourth quarter ending 30June 2009.
