Vancouver, BC, Canada - August 25, 2016 - Rock Tech Lithium Inc. (the "Company") (TSX-V: RCK) announces that Apeiron Investment Group (the Purchaser), a shareholder of the Company, has acquired, in a private transaction with an arms length party, 945,830 common shares and 945,830 share purchase warrants of the Company, each warrant exercisable into one common share of the Company at an exercise price of $0.20 per share until December 31, 2017.
Prior to the acquisition, the Purchaser owned and had control over 1,000,000 common shares of the Company and 500,000 warrants, each warrant exercisable into one common share of the Company at an exercise price of $0.50 per share until July 5, 2018, subject to accelerated expiry in certain circumstances. After giving effect to the acquisition, the Purchaser holds 1,945,830 common shares, representing 8.21% of the issued and outstanding common shares of the Company. Assuming exercise of the 1,445,830 warrants held, the Purchaser would hold 3,391,660 common shares, representing 13.48% of the issued and outstanding common shares of the Company on a partially-diluted basis.
The common shares and warrants were acquired for investment purposes and the Purchaser may, from time to time, increase or decrease his ownership of the securities of the Company through the market or otherwise, as circumstances or market conditions warrant.
This news release is being issued in accordance with National Instrument 62-103 - The Early Warning System and Related Take-Over Bid and Insider Reporting Issues in connection with the filing of an early warning report dated August 25, 2016.
