Skandinavisk Holding A/S and
Skandinavisk Holding II A/S sign merger plan
Scandinavian Tobacco Group A/S has been informed that Skandinavisk Holding A/S
and Skandinavisk Holding II A/S have today signed a plan to merge the two
companies. Skandinavisk Holding A/S will be the continuing entity in the merger.
Skandinavisk Holding II A/S owns 33.2% of the shares of Scandinavian Tobacco
Group A/S, and is the company's largest shareholder.
Skandinavisk Holding A/S owns 100% of the shares of Skandinavisk Holding II A/S
and is in turn owned 65% by Chr. Augustinus Fabrikker Aktieselskab (ultimately
the Augustinus Foundation) and 35% by C.W. Obel A/S (ultimately the Obel Family
Foundation).
The merger is expected to be completed before 30 June 2017.
Following completion of the merger, it is the intention of Skandinavisk Holding
A/S to distribute the company's holding of Scandinavian Tobacco Group A/S shares
to Chr. Augustinus Fabrikker Aktieselskab and C.W. Obel A/S, in proportion to
these parties' ownership of Skandinavisk Holding A/S.
