Wessanen 2010 AGM resolutions

Royal Wessanen nv announces that the Annual General Meeting of Shareholders,
held in Amsterdam on 19 April 2011, has approved the appointment of Mr R.J.J.B.
(Ronald) Merckx as member of the Executive Board for a term of four years,
commencing on 1 June 2011.
The AGM also approved most other proposals on the agenda including the adoption
of the 2010 financial statements and allocation of result; and the proposed
2010 dividend of ?0.05 per share.
The AGM did not approve the proposals 9 and 10 on the agenda regarding the
extension of the designation of the Executive Board as competent body to issue
shares; and the extension of the designation of the Executive Board as competent
body to limit or exclude the statutory pre-emptive right when issuing shares.
