COVINGTON, Ky., August 23, 2011 - Omnicare, Inc. (NYSE:OCR) today issued the
following statement in response to PharMerica Corporation's (NYSE: PMC) press
release.

"We believe that our proposal presents a compelling value proposition for
PharMerica stockholders.  We disagree with PharMerica's regulatory analysis, and
disagree that a $15 per share cash proposal, not conditioned on financing, is
'highly conditional and risky.'  We urge PharMerica to sit down with us to
engage in meaningful discussions.

"We remain firmly committed to pursuing this transaction and continue to be very
confident in our ability to consummate a transaction expeditiously."
