Asklepios increases its share in MediClin AG and with 52.73 per cent holds
now the majority of shares
The chairman of the Management Board of MediClin AG will be Chairman of
Corporate Management of Asklepios Group
Offenburg, September 16, 2011 - Today MEDICLIN Aktiengesellschaft (MediClin
AG) was informed by Asklepios Kliniken GmbH, Hamburg), that Asklepios will
increase its share in the subscribed capital of MediClin AG from 34.72 per
cent up to 52.73 per cent. In this context MediClin AG was informed that
Asklepios Kliniken GmbH has purchased over-the-counter in total 8,556,897
MediClin shares (this corresponds to about 18.01 per cent of the share
capital of MediClin AG). The transfer is expected to take place on
September 26, 2011. Acquired was a block of shares of Provinzial Rheinland
Lebensversicherung AG Die Versicherung der Sparkassen, Düsseldorf, which
Asklepios already was entitled to purchase since 2009.
In March this year Asklepios Kliniken GmbH offered a voluntary takeover
offer and announced that by increasing its share in MediClin AG it sees a
chance to strengthen its position in the German hospital market and to push
the business modell integrated medical care of MediClin AG further.
In the context of the above mentioned majority shareholding the Supervisory
Board of Asklepios Kliniken GmbH, Hamburg, decided to appoint Dr. Ulrich
Wandschneider, Chairman of the Management Board of MediClin AG, as Chairman
of Corporate Management of Asklepios Klinik GmbH, effective November 1,
2011. On this date Dr. Wandschneider will take over the chair of Corporate
Management of the Asklepios On this date, Dr. Wandschneider will resign as
Chairman of the Management Board of MediClin AG but will be still Member of
the Management Board of the Company. He will administrate a large part of
his present functions at MediClin AG. It is intended that Frank Abele, CFO
of MediClin AG, will take the role as Spokesman of the Management Board of
MediClin AG.

fast and smooth cooperation between the two Company Groups - for the
benefit of both Companies', said Dr. Jan Boetius, Chairman of the

Die MediClin ist ein bundesweit tätiger Klinikbetreiber und ein großer
Anbieter in den Bereichen Neuro- und Psychowissenschaften sowie Orthopädie.
Mit 34 Klinikbetrieben, sieben Pflegeeinrichtungen und elf Medizinischen
Versorgungszentren ist die MediClin in elf Bundesländern präsent und
verfügtüber eine Gesamtkapazität von rund 8.000 Betten. Bei den Kliniken
handelt es sich um Akutkliniken der Grund-, Regel- und
Schwerpunktversorgung sowie um Fachkliniken für die medizinische
Rehabilitation. Für die MediClin arbeiten rund 8.200 Mitarbeiter.
