Knightscove Media Corp. Announces Completion of a Private Placement of 2,500,000 Units
(firmenpresse) - TORONTO, ONTARIO -- (Marketwire) -- 09/27/11 -- Knightscove Media Corp. (TSX VENTURE: KC.A)(TSX VENTURE: KC.B) ("Knightscove") is pleased to announce that it has completed a private placement offering of 2,500,000 units (each a "Unit") at a price of CDN$0.10 per Unit for aggregate proceeds of CDN$250,000. Of this amount, 580,000 subordinate voting shares have been subscribed for by 1365106 Ontario Inc., the private services company of Knightscove's CEO and President Leif Bristow. The private placement is subject to final approval of the TSX Venture Exchange.
Each Unit consists of one subordinate voting share ("KC Share") of Knightscove and one-half of one subordinate voting share purchase warrant ("Warrant"), each Warrant entitling the holder to acquire one KC Share at an exercise price of CDN$0.20 per KC Share for a term of one year. The Units are subject to a hold period extending until January 27, 2012.
Knightscove continues to explore additional financing endeavors to enhance its existing lines of business and to support various corporate and film library acquisition opportunities.
Upon the completion of this private placement, Knightscove has 59,058,425 subordinate voting shares and 9,647,819 multiple voting shares issued and outstanding. Additional information regarding the business of Knightscove may be found filed on SEDAR at .
