MGold Engages Investor Relations Consultant
(firmenpresse) - MONTREAL, QUEBEC -- (Marketwire) -- 10/11/11 -- MGold Resources Inc. ("MGold" or the "Corporation") (TSX VENTURE: MNI) is pleased to announce that it has engaged Investor Cubed Inc. ("Investor Cubed" or "ICI") to provide investor relations and shareholder communications services. ICI is a Toronto-based investor relations consulting firm. ICI will not provide market making services. ICI is at arm's length with MGold and currently has no direct or indirect interest in securities of the Corporation.
The initial term of the consulting agreement (the "Agreement") entered into by MGold and ICI is for a twelve (12) month period which will be automatically renewed for an additional twelve (12) month period unless otherwise terminated by MGold or ICI. MGold will have the right to terminate the Agreement starting January 12, 2012 by providing ICI with a thirty (30) days written notice. ICI will receive a monthly fee of $5,000. In addition, subject to the TSX Venture Exchange (the "Exchange") approval, ICI shall be granted 300,000 stock options (each an "Option"). Each Option will entitle its holder thereof to purchase one (1) common share of the share capital of MGold (each a "Common Share") at a price of $0.10 per Common Share. The Options will vest quarterly over a period of one year and will expire five years following the date of issuance. The Options are subject to the terms and conditions of MGold's stock option plan.
The Agreement is subject to acceptance of applicable filings with the Exchange.
