("WizCom" or the"Company")) (Prime Standard: WZM, IL 0010830706) announces that todaythe Company has entered into a convertible notes purchase agreementwith a group of purchasers. According to the agreement, WizCom willissue convertible notes to the purchasers to the amount of NIS4,500,000 (approx. USD 1.2 million). The purchasers include currentWizCom shareholders, management and purchasers who are not related tothe Company.The Notes are convertible into ordinary shares of the Company, parvalue NIS 0.01, following a period of six months from issuance, at aconversion price of EUR 0.25 per share. The convertible notes carryan annual interest rate of 5%.All of the convertible notes shall automatically be converted intoOrdinary Shares in the event that the Company either resolves, at itssole discretion, to convert the notes; or upon written resolution bythe holders of the convertible notes with 50% or more of the total ofthe underlying aggregate notes' amount.
