Shareholder changes in Transmode

Stockholm, Sweden - 6(th) December, 2011 - Transmode Holding AB (publ), a global
supplier of packet-optical networking solutions has been informed that three of
its shareholders, Amadeus General Partner Limited, HarbourVest International
Private Equity Partners IV - Direct Fund L.P., and EEP Managers Ltd, yesterday
have sold in total 2 500 000 shares, representing 9.2 % of the total number of
outstanding shares and votes in the company. Transmode's largest shareholder,
POD Venture Partners, has however not sold any shares and remains with an
unchanged ownership of 34,1%.
The selling shareholders are three of the shareholders who undertook not to sell
additional shares in the company for a period of six months from the listing.
This lock-up period expired on November 27, 2011. Transmode has further been
informed that the shares have been sold in a placing to institutional investors,
and that Amadeus General Partner Limited, HarbourVest International Private
Equity Partners IV - Direct Fund L.P. and EEP Managers Ltd have entered into a
new lock-up agreement not to sell additional shares in the company for a period
of 90 days.
