1281228 Ontario Inc. Acquires Shares of CCL Industries Inc.
(firmenpresse) - TORONTO, ONTARIO -- (Marketwire) -- 12/21/11 -- 1281228 Ontario Inc. ("1281228"), a private Ontario corporation announced today that Samson Investments Limited, a company controlled by it, had acquired 471,100 Class B non-voting shares of CCL Industries Inc. ("CCL") through the facilities of the Toronto Stock Exchange at an average price of $30.00 per share. The purchased shares represent approximately 1.5% of the currently outstanding Class B non-voting shares of CCL. Immediately following this acquisition, 1281228 beneficially owns or exercises control or direction over 5,628,100 Class B non-voting shares and 2,241,880 Class A voting shares, representing approximately 18% of the outstanding Class B non-voting shares and approximately 94.4% of the outstanding Class A voting shares of CCL. In the event that all of the Class A voting shares held by 1281228 were converted into Class B non-voting shares, 1281228 would then beneficially own 7,869,980 Class B non-voting shares representing approximately 23.5% of the issued and outstanding Class B non-voting shares, assuming that no other Class A voting shares were converted into Class B non-voting shares. The shares of 1281228 are owned as to one half each by Donald G. Lang and Stuart W. Lang.
The acquisition of the above-noted shares was made for investment purposes and 1281228 reserves the right to increase or decrease its security holdings in CCL from time to time as it may determine appropriate for investment purposes.
