CapMan senior partners have acquired the remaining CapMan Plc A shares owned by
CapMan Partners B.V., 250,000 A shares have been converted into B shares
CapMan Partners B.V. has sold its remaining 218,750 unlisted A shares in CapMan
Plc to CapMan senior partners or companies controlled by them. In addition, the
Board of Directors of CapMan Plc has received and approved applications for the
conversion of a total of 250,000 CapMan Plc A shares into listed B shares. The
shares are owned by Oy Aristo-Invest Ab, the company controlled by Ari
Tolppanen. Following the conversion, Oy Aristo-Invest Ab and Ari Tolppanen's
combined share of voting rights in CapMan Plc has decreased from 20.75% to
19.44%. The transactions or conversion do not impact the ownership of other
CapMan shareholders, but as a result of the conversion, the collective voting
rights of B shareholders have increased from 56.61% to 57.73%.
The sale of CapMan Plc A shares from CapMan Partners B.V. to CapMan senior
partners was executed on 9 December 2011. In total 218,750 A shares were sold to
one CapMan senior partner and to companies controlled by seven CapMan senior
partners. Following the transactions, the ownership of A shares in CapMan Plc
has been expanded to include a larger number of senior partners. CapMan Partners
B.V. has no longer an ownership position in CapMan Plc.
The conversion of a total of 250,000 CapMan Plc A shares into B shares was
entered into the Trade Register on 22 December 2011. Trade with the shares is
expected to commence on 23 December 2011. The converted shares are owned by Oy
Aristo-Invest Ab, a company controlled by Ari Tolppanen. Following the
conversion, Oy Aristo-Invest Ab and Ari Tolppanen's combined share of voting
rights have decreased from 20.75% to 19.44%. Furthermore, the collective voting
rights of B shareholders of CapMan Plc have increased from 56.61% to 57.73%.
After the conversion the number of A shares is 5,750,000 and B shares is
78,531,766.
