Leading Swiss proxy adviser opposes proposals placed by Elliott
ALLSCHWIL/BASEL, SWITZERLAND - 19 April 2011 - Actelion Ltd (SIX: ATLN)
announced today that Ethos, the Swiss Foundation for Sustainable Development,
currently composed of 113 institutional investors, has confirmed that it will
recommend its members to vote for the proposals put forward by Actelion's Board
at the Company's Annual General Meeting (AGM) on 5 May 2011. Ethos recommends
voting in favor of all proposals of Actelion including the composition of the
Board of Directors and to reject Elliott's proposals. As a general policy Ethos
supports the introduction of a one-year term of office for directors.
Robert E. Cawthorn, Chairman of Actelion, said: "We are pleased that another
independent proxy advisor recommends voting for the proposals Actelion has
brought forward. After most recent supportive statements from BB Biotech and
IVOX, Ethos' statement is again an important signal to our shareholders. We
firmly believe that voting for all of Actelion's proposals is in the best
interest of all shareholders."
Ethos published the following statement today: "Ethos supports the strategy of
Actelion's Board allowing its shareholders to fully benefit from the potential
of Macitentan, Actelion's new drug intending to replace Tracleer, Actelion's
blockbuster whose patent expires in 2015. Via its different resolutions, Elliott
seems to favour the sale of Actelion. In the long term interests of all the
company's stakeholders, Ethos recommends that shareholders oppose the
resolutions of the hedge fund and that they support the board of directors by
not appointing any of Elliott's candidates."
Actelion encourages all shareholders to register their shares no later than 28
April 2011 and to follow the Board's recommendations by voting FOR all of
Actelion's experienced director nominees and proposals - either by attending the
AGM on 5 May 2011 in person or by filling out and returning the independent
proxy card.
