Michael G. Sheridan Acquires Securities of Sheridan Brothers Trust
(firmenpresse) - TORONTO, ONTARIO -- (Marketwire) -- 01/04/12 -- Mr. Michael G. Sheridan ("Sheridan"), 73 Richmond Street West, Suite 107, Toronto, Ontario M5H 4E8 announces that, on December 31, 2011, a joint actor of Sheridan acquired ownership of $180,000 principal amount of Series A 10% unsecured convertible debentures of Sheridan Brothers Trust ("Sheridan Brothers") (the "Debentures") for cash consideration equal to the face amount of the Debentures. The Debentures are due on December 31, 2016 and the principal amount and accrued interest may be converted into units of Sheridan Brothers (the "Units") at a conversion price of $0.15 per Unit.
A joint actor of Sheridan currently holds 2,905,584 Units of Sheridan Brothers. These securities represent approximately 61.6% of the current issued and outstanding Units of Sheridan Brothers (or approximately 69.4% on a partially diluted basis, assuming conversion of the Debentures only).
These transactions were made for investment purposes and Sheridan and his joint actors may from time to time acquire additional securities of Sheridan Brothers, dispose of some or all of the existing or additional securities of Sheridan Brothers they hold or will hold, or may continue to hold their current positions depending on market conditions or any other relevant factor.
