StoneShield Announces Private Placement of Units
(firmenpresse) - VANCOUVER, BRITISH COLUMBIA -- (Marketwire) -- 03/13/12 -- StoneShield Capital Corp. (TSX VENTURE: STS)(FRANKFURT: 5XS) ("StoneShield" or the "Company") is pleased to announce the Company intends to complete a non-brokered private placement (the "Private Placement") to raise up to C$1,500,000 through the sale of up to 15,000,000 units (the "Units") at C$0.10 per Unit. Each Unit will consist of one common share and one half of one share purchase warrant. Each full warrant will entitle the holder to purchase one additional common share for 24 months from the closing of the Private Placement at a price of C$0.15 per share for the first 12 months and C$0.20 for the remaining 12 months. Finders fees may be payable in connection with the Private Placement as permitted under the policies of the TSX Venture Exchange. This financing is subject to TSX Venture Exchange approval.
Net proceeds from the Private Placement will be utilized to fund the proposed work programs on StoneShield's Goldtooth gold property, as well as for general working capital. The Goldtooth gold property bookends the operating Briggs gold mine owned by Atna Resources Ltd. in Inyo County, CA.
