(Thomson Reuters ONE) - KESKO CORPORATION STOCK EXCHANGE RELEASE 16.02.2010 AT 16.30 1(1)Kesko Corporation's shareholders jointly representing over 10% of the votescarried by the company shares have made a proposal to the Annual General Meetingto be held on 29 March 2010 for the number of the Board members and theirremuneration.Proposal for the number of the Board membersKesko Corporation's shareholders who jointly represent over 10% of the votescarried by the company shares have proposed that the company's Annual GeneralMeeting decide the number of the Board members to be the present seven (7).Proposal for the remuneration of the Board members and the Board Committees'membersIn addition, the said shareholders propose that the remuneration of the Boardmembers and the Board Committees' members be unchanged and paid as follows:- the Chair of the Board, an annual fee of 80,000 euros,- the Deputy Chair of the Board, an annual fee of 50,000 euros,- a member of the Board, an annual fee of 37,000 euros,- a meeting fee of 500 euros/meeting for a Board meeting and its Committee'smeeting, and a meeting fee of 1,000/meeting to a Chair of a Committee who is notthe Chair or the Deputy Chair of the Board.The above proposals will be included in the notice of the Annual General Meetingwhich will be published separately.According to Kesko's Articles of Association, the term of each Board memberelected by the Annual General Meeting held on 30 March 2009, namely HeikkiTakam?, Seppo Paatelainen, Maarit N?v?Ilpo Kokkila, Esa Kiiskinen, MikkoKosonen and Rauno T?nen, will expire at the close of the 2012 Annual GeneralMeeting.Further information is available from Vice President, General Counsel AnneLepp?-Nilsson, tel. +358 1053 22347.Kesko CorporationPaavo MoilanenSenior Vice President, Corporate Communications and ResponsibilityDISTRIBUTIONHelsinki Stock ExchangeMain news mediawww.kesko.fi[HUG#1385032]
