Lawson Software Extends Consent Solicitation
(firmenpresse) - ST. PAUL, MN -- (Marketwire) -- 03/22/12 -- Lawson Software, Inc. (the "Company") announced today that it has extended the expiration date of its previously announced consent solicitation (the "Consent Solicitation") with respect to its 11.5% Senior Notes due 2018 (the "Notes"), to approve certain proposed amendments (the "Proposed Amendments") to the indenture governing the Notes (the "Indenture"), including, among other things, to exclude the Infor Contribution (as defined in the Change of Control Notice, Offer to Purchase and Consent Solicitation Statement dated March 8, 2012, as supplemented (the "Statement")) from the definition of "Change of Control" in the Indenture.
The Consent Solicitation, initially scheduled to expire at 5:00 p.m. New York City time on March 21, 2012, has been extended until 5:00 p.m., New York City time, on March 27, 2012 (the "Consent Time"). As of 5:00 p.m., New York City time on March 21, 2012, approximately 83% of the outstanding aggregate principal amount of the Notes had validly tendered (and not withdrawn) consents in the Consent Solicitation.
Except as set forth herein, the complete terms and conditions of the Consent Solicitation remain the same as set forth in the Statement and the accompanying Letter of Consent previously distributed to eligible holders of Notes.
The Infor Contribution and the related financing transactions are expected to be consummated during the week of April 2, 2012.
The Company has retained BofA Merrill Lynch to act as the Solicitation Agent in connection with the Consent Solicitation.
