Leverkusen, 3 May 2012 - In 2005, Biofrontera AG had issued a convertible bond
2005/2012, divided in 200,000 bearer debentures with equal rights attached to
each debenture (ISIN: DE000A0E964; Wertpapierkennummer (German Security
Identification Number): A0E964) with a nominal value of EUR 100.00 each. Since
the necessary requirements are met, Biofrontera AG has resolved today to redeem
the outstanding debentures in accordance with Clause 9 para 5 of the bond's
terms and conditions. The company has indicated several times that it intends to
redeem the outstanding bearer bonds, inter alia in the context of two exchange
offers regarding the convertible bond 2005/2012 (cf. ad-hoc releases of
7 June 2011 and 16 November 2011). The creditors of the convertible bond
2005/2012 had been offered to exchange their debentures into the 5 % option bond
2011/2016. As a consequence of the redemption, the convertible bond 2005/2012
will be completely repaid.
Being able to prematurely redeem and repay the bond before the regular maturity
date will improve the liquidity of the company by approx. EUR 840,000.
