Notice of Extra Ordinary AGM
Haldane McCall PLC, a European Company investing in emerging markets Africa
confirms that the Extra Ordinary Annual General Meeting ('EOAGM') of the
Company will be held at 10.00 a.m. on 29 June 2012 at Best Western Hotel
Lagos Ikeja, Allen Avenue, Ikeja Lagos.
The meeting will consider
1. Received the Auditors report for 2011
2 Approved the Annual Report for 2011
3 Approved the payments of interim divident of Euro0.0125 per shares
4 Approved the proposal to buy back up to 5 million of the companies shares
and held in the company treasury. The company's own shares are to serve as
transaction currency or as consideration for the acquisition of companies
in its core business areas in Africa and Europe.
The share buyback is to be executed via the stock exchange. The purchase
price per share paid by Haldane McCall PLC when acquiring shares via the
stock exchange may not exceed or fall short of the share's average closing
price in Xetra trading in the respective three stock market trading days
preceding acquisition by more than ten percent.
The buyback will be carried out by a financial institution that is
independent and not influenced by Haldane McCall PLC in terms of its
decisions concerning the timing of individual buyback transactions.
