Dietsmann Group acquires REP Engineering, a Russian Global Maintenance Services Company

The Netherlands, Breda - On June 20, Dietsmann Group acquired a 51% stake in REP
Engineering, a Russian Global Maintenance Services Company providing repair and
maintenance services to power stations, including four large plants operated by
Russian wholesale power generating company ENEL OGK-5 which have a combined
installed capacity of over 8,7 Giga Watts.

REP Engineering also carries out outage and capitalization projects on several
power generating assets won in open tender processes.

Headquartered in Moscow, REP Engineering has over 1,800 technical personnel
based at four branch offices each close to one of the major power plants:
Konakovskaya, north west of Moscow, Nevinnomysskaya, close to the Black Sea,
Sredneuralskaya, which is north west of Eketinburg (Western Siberia), and
Reftinskaya, north east of Eketinburg.

Since the collapse of the Soviet Union in the 1990s Russia's economic recovery
has led to a major increase in total electricity consumption and the Russian
energy sector is now attracting major domestic and international investment.
Russia is the world's fourth largest generator of electricity after the USA,
China and Japan and the world's largest gas producer and exporter. The potential
for energy savings through enhanced technology and/or energy efficiency is
immense. This has led to a sharp rise in the demand for a Group such as
Dietsmann to provide know-how and expertise in qualified global maintenance
services.

In all the countries in which it operates Dietsmann Group strives for the
highest possible level of local  employment in its maintenance operations. In
Russia, 97% of the total workforce is Russian Nationals. This acquisition takes
the total number of employees working for the Dietsmann Group worldwide to more
than 5,000.

Dietsmann Group now operates and maintains Independent Power Plants and power




plants owned by utility companies of various types and sizes for international
power generating companies, Independent Power Plant (IPP) operators and national
and international oil companies in Nigeria, Kazakhstan, Congo, Libya and Russia.
In total, Dietsmann Group maintains more than 12 Gigawatts of both gas and steam
turbine-driven power units worldwide.
