AdCare Health Systems Files Resale Registration Statement
(firmenpresse) - ATLANTA, GA -- (Marketwire) -- 09/17/12 -- (NYSE MKT: ADK), a leading long-term care provider, announced that on September 14, 2012 it filed a resale registration statement on Form S-3 with the Securities and Exchange Commission. The registration statement, which has not yet been declared effective by the Securities and Exchange Commission, relates to the resale of the shares of common stock issuable upon the conversion of AdCare's 8% Subordinated Convertible Notes and the exercise of certain warrants held by the selling shareholders named in the registration statement. The 8% Subordinated Convertible Notes were issued in a private placement which closed on July 2, 2012.
AdCare will not sell any securities pursuant to the registration statement and will not receive any proceeds from any resale by the selling shareholders of the shares of common stock covered by the registration statement.
