The Tophedge AG has acquired a significant stake in the Online Marketing
Solutions AG (OMS), Eschborn, Germany. OMS, founded in 2004, is one of the
largest online marketingproviders in Europe. The client base of the
technology oriented service provider is primarily composed of small and
medium sized companies that use the internet as a marketing vehicle. OMS
Group's growing client base is increasingly turning awayfrom the
traditional client acquisition mediums such as the 'Yellow Pages' and are
employing internet search machines and online marketing in orderto expand
their client base.OMS with its more than 100 employees offers a complete
line of servicesto aid their clients in their business endeavors; starting
with search machine marketing and optimization through affiliate marketing
and internet public relations, all the way up to web applications.OMS has
been profitable since day one with a yearly growth rate of approximately
35%, and has established itself as the largest service provider in the
highly fragmented German market.Using its experience gained in over 7,500
online marketing projects,the Group has opened up the online business world
for its small and mid-sized customers and has been crucial to the successof
larger companies in their online business.Online Marketing Solutions AG's
stock is highly undervalued in Tophedge AG's opinion: Tophedge based their
investment on the fact that this 'Cash Flow Maschine'works profitably in a
growing market sector and is actually valued extremely cheaply; also adding
that they would purchase even more stock should the price remain weak.The
OMS stock was once valued at over 55 Euros and can be currently had for
under a third of that.As a result Tophedge sees extreme upside potential,
alone due to the fact that the new investment's streamlined and profitable
structure makes it an interesting takeover candidate for the competition
both internationally and domestically. A prospectus for Online Marketing
Solutions AG was filed and accepted September 12, 2011 by the BAFin
(Federal Financial Supervisory Authorities) and is available for perusal at

market profile and develop and expand new client bases. The Tophedge AG
will accompany OMS in its development as a strategic investor.
