Zurich, 12th April 2010 - Can Can Lingerie Holding AG (ISIN: CH0044678180 / symbol: CCH) wishes to advise that at the Annual General Meeting of the Company held today at 10:45 a.m. in Zurich, Switzerland, the company’s shareholders unanimously approved all proposals put forward by the Board of Directors.
At CCH’s Annual General Meeting today in Zurich, shareholders approved:
•the annual financial statements for the 2009 financial year
•carry forward of net loss
•discharge of Board of Directors for the fiscal year 2009
•the Board of Directors was re-elected for the incumbency of one year
•Ferax Treuhand AG, Zurich, was appointed as Statutory Auditor for the period of one year
•a capital increase in the amount of CHF 800,000 and subsequent the issuance of 80,000,000 shares for the ALF acquisition (50%)
•an increase of authorised capital in the amount of CHF 325,000.
•name change to ALF Group Holdings AG and change of business activities
After the AGM there will be 112,500,000 shares issued and listed in total.
Mr Michael Pakula and Pascal P. Niedermann were re-elected to the Board. Further, Cathrine Byrnes, Director of ALF Group, was elected as new member of the Board.
Mr Michael Pakula, Director of ALF Group Holdings AG, said, "All conditions to finalise the share sale agreement with the shareholders of the ALF Group are now met. This marks the beginning of a new era. We would like to confirm that ALF Group is expecting a normalized EBIT of 14 million AUD or 9.5 million Euro respectively (based on the current exchange rate) for fiscal year 2010.”
