CENTROTEC: shares in CENTROSOLAR Group AG sold
Brilon, October 4, 2012. CENTRTOTEC Sustainable AG, Brilon, disposed of its
26.14 % holding in the listed company CENTROSOLAR Group AG, with registered
office in Munich, in an off-exchange transaction on October 3, 2012. The
proceeds of the sale amount to EUR 6.3 million and therefore exceed the
carrying amount of the investment - which is accounted for using the equity
method - of EUR 4.6 million at June 30, 2012. This book profit, together
with the portion of the first-half result of the CENTROSOLAR investment
that is allocable to CENTROTEC, will make a marginally negative overall
contribution to EPS for the year as a whole, though CENTROTEC will receive
liquid funds equivalent to the sales proceeds.
After the restructuring of its portfolio in the fourth quarter of 2011,
which resulted in the winding-up of various peripheral activities in the
photovoltaic area, CENTROTEC's sole connection with the photovoltaic
industry was its interest in the equally listed CENTROSOLAR Group AG. In
its core segment Climate Systems, CENTROTEC Sustainable AG now focuses on
the field of heating, climate control and ventilation technology as well as
solar thermal through the subsidiaries Wolf Heiztechnik, Brink Climate
Systems and Ned Air; in other words the emphasis here is on the use of
solar energy for water heating, heating systems support and industrial
process heat. In the core segment Gas Flue Systems, the subsidiaries Ubbink
and Centrotherm Systemtechnik concentrate on gas flue systems for
condensing boilers as well as air ducting systems and accessories for
ventilation systems.
The transaction means that CENTROSOLAR, which was hived off from CENTROTEC
in 2005, is now a fully independent company and consequently enjoys
increased strategic scope to act in the photovoltaic market.

Systems and Ned Air in the Climate Systems segment, which have specialised
