At today's Ordinary General Meeting of Swiss National Insurance Company Ltd, the
shareholders approved the annual report, the annual financial statements and the
consolidated financial statements for 2009. The General Meeting also endorsed
all proposals put forward by the Board of Directors. The General Meeting was
held for the last time under the chairmanship of the long-serving Chairman of
the Board of Directors, Dr René Theler, who in future will act as Honorary
Chairman of the company. Dr René Theler was today succeeded in his office by Dr
Andreas von Planta, who until now has been Vice Chairman of the Board of
Directors.
The 233 shareholders present represented 5 443 151 registered shares. A total of
9 604 780 shares were represented including proxy shares. This corresponds to
43.56 % of shareholder votes.
Renewal of the authorised share capital
Nationale Suisse intends to continue with the growth strategy already adopted,
in particular the strengthening of the profitable specialty lines, and therefore
requires the necessary strategic freedom of action from a financial perspective.
For this reason, the Board of Directors proposed a renewal of the authorised
share capital of a maximum of CHF 2.8 million until 7 June 2012. The General
Meeting today approved this proposal.
Payment of a cash dividend
The payment of a cash dividend of CHF 1.25 proposed by the Board of Directors
was also approved. The dividend yield calculated on the basis of the year-end
price for 2009 is therefore 4.0 %.
Departure of the Chairman of the Board of Directors
After holding the position for fifteen years, Dr René Theler today stepped down
as Chairman of the Board of Directors, but will continue to act as Honorary
Chairman of the company.
The Board of Directors appointed Dr Andreas von Planta, a member of the Board of
Directors since 1997 and its Vice Chairman since 2001, as Theler's successor.
The Board of Directors named Dr Bruno H. Letsch as the new Vice Chairman.
