New main shareholder Global Eagle announces acquisition of a controlling
interest and submission of a mandatory offer

Munich, February 6, 2013 - Advanced Inflight Alliance AG (ISIN
DE0001262186; WKN 126218; domiciled at: Schellingstrasse 35, 80799 Munich)
announces that Global Eagle Entertainment GmbH, currently still trading
under the name of Blitz F12-sechs-acht GmbH, has informed it in a letter
dated February 5, 2013, that Global Eagle Entertainment GmbH acquired a
controlling interest in Advanced Inflight Alliance AG in accordance with
Section 35 (1) in conjunction with Section 29 (2) of the German Securities
Acquisition and Takeover Act (WpÜG) by acquiring 20,464,581 shares on
February 5, 2013. Pursuant to Section 35 (2) WpÜG, Global Eagle
Entertainment GmbH will make a mandatory offer to all shareholders to
acquire all bearer shares in Advanced Inflight Alliance AG once the German
Federal Financial Supervisory Authority (BaFin) has approved the
publication of the offer document. According to the announcement, the offer
document will be published online at www.globaleagle.de/aia-angebot.
The announcement of the acquisition of a controlling interest and the
submission of a mandatory offer to all shareholders of Advanced Inflight
Alliance AG pursuant to Section 35 (2) WpÜG is the result of the
consummation of the agreement regarding the acquisition of the 20,464,581
shares in Advanced Inflight Alliance AG previously held by PAR Investment
