Magnolia: Ownership of or Control or Direction Over Ordinary Shares of Atlas Financial Holdings, Inc.
(firmenpresse) - TULSA, OKLAHOMA -- (Marketwire) -- 03/26/13 -- Magnolia Capital Partners, LLC ("Magnolia") is issuing this press release to update its securityholding percentage in the ordinary shares ("Ordinary Shares") of Atlas Financial Holdings, Inc. ("Atlas") announced in its press release dated February 12, 2013 as a result of (i) incorrect data provided to Magnolia regarding the number of issued and outstanding Ordinary Shares as of February 12, 2013; and (ii) the issuance of additional Ordinary Shares by Atlas as a result of the exercise by the underwriters of an over-allotment option granted to them in Atlas' recent underwritten public offering (the "Over-allotment Option").
Magnolia has not disposed of, or acquired additional ownership of or control over, any securities of Atlas since February 12, 2013.
On February 12, 2013, Magnolia owned 1,000,573 Ordinary Shares, in the aggregate, and Mr. James F. Adelson and Mr. Stephen J. Heyman, in their capacities as managers to Magnolia, exercised control and direction over these Ordinary Shares, which represented approximately 15.68% of the 6,381,921 (as opposed to 7,644,390) Ordinary Shares then issued and outstanding.
On March 11, 2013, 451,500 Ordinary Shares were issued by Atlas as a result of the exercise of the Over-allotment Option. As a result, Magnolia's securityholding percentage has decreased from 15.68% to 14.64% based on there being 6,833,421 Ordinary Shares issued and outstanding as reported in Atlas' Form 10-K for the year ended December 31, 2012.
The Ordinary Shares are held by Magnolia for investment purposes. Magnolia's holdings will be reviewed from time to time by Messrs. Adelson and Heyman and may be increased or decreased as future circumstances may dictate.
