ALF Group Holdings AG - Clarification of Authorized Shares and Shares on Issue
Zurich 20th September 2010 - The Directors of ALF Group Holdings AG (ALF) would like to confirm the following:
1. ALF has 177,500,000 Authorized shares.
2. Included in the above were 32.5M shares that were open for subscription at CHF .01. These were subscribed for as follows:
- ALF shareholders have applied for and will be issued with 762,608 shares with payment due by 30th September.
- Kingsley Finance Limited have subscribed to take up the remaining balance of these shares (31,737,392) and pay in the CHF .01 per share under an agreement that Kingsley will hold these shares and not sell any of these shares under Euro .10, after which Kingsley will recoup CHF .015 per share and all surplus funds generated will be paid to ALF.
Kingsley is committed to ALF having the required free cash to meet acquisitions and investments planned by ALF.
3. Consistent with the agreement by ALF to acquire the remaining 50% of ALF Group Pty Ltd, ALF will issue 53m x CHF 1 shares.
In summary the current situation is:
- Authorized Shares - 177,500,000
- Currently listed Shares: 65,000,000
Please note:
(i) the shares included in 2 above (32.5M) are not yet listed
(ii) the shares authorized to pay for the first 50% of ALF Group Pty Ltd (80M ALF shares) are not yet listed
