The Fritz Nol AG has secured a contractual option to purchase a significant
equity stake of several shareholders of Wohnbau Schwarzwald AG i.L. . The
shares, which are the subject of this Agreement, exceed the blocking
minority (25% of share capital). The Target Company is in the status of
insolvency proceedings since 1999, but the shares are traded on several
regional stock exchanges. The exercise of the option is subject to, among
other things, that a general meeting decides the continuation of the target
company and in cooperation with the insolvency administrator, a process
termination can be achieved.
Fritz Nols negotiated as part of the Corporate Angel concept currently on
the purchase of various investments. With successful completion of the
insolvency proceedings, the public shell of Wohnbau Schwarzwald AG could
serve one of these investments as a platform for an IPO.
