Hamburg, Germany, June 5, 2013 - The extraordinary general meeting of CBF
China Bio-Fertilizer AG approved the contemplated sale of the Company's
Chinese subsidiary Shandong Chengwu Science&Technology Development Co.
Ltd. with a majority of approximately 89% of the votes cast. The attendance
rate at the meeting was approximately 88% of the stated share capital.
In light of the ongoing difficult market environment for the Company, the
management board considers the possibility of the sale and transfer as an
important step for a consolidation and new strategic orientation for the
Company.
