Another shareholder has filed legal action for annulment and ascertainment
of voidance against a resolution passed by the Annual General Meeting
Bad Neustadt a. d. Saale, 25th July 2013
According to Sections 246 para. 4 sentence 1, 249 para. 1 sentence 1 AktG
we have submitted today a notification to the Federal Gazette
('Bundesanzeiger') that another shareholder has filed legal action for
annulment (Section 246 AktG) and ascertainment of voidance (Section 249
AktG) against a resolution passed by the Annual General Meeting held on 12
June 2013:
The legal action is directed against the resolution regarding item 7 of the
agenda (Amendment of the articles of association by way of deletion of
Section 17, para. 4, first sub-paragraph).
The legal action is pending before the Regional Court (Landgericht) of
Nürnberg-Fürth, 1st chamber for commercial matters, under case no. 1 HK O
5267/13. The court has ordered written proceedings and thus not scheduled
a date for a hearing.
