Hermine Wekerle Acquires Securities of Difference Capital Financial Inc.
(firmenpresse) - TORONTO, ONTARIO -- (Marketwired) -- 07/26/13 -- Pursuant to a prospectus offering of 12,000,000 common shares ("Common Shares") in the capital of Difference Capital Financial Inc. ("DCF") (TSX VENTURE: DCF) completed on July 26, 2013 (the "Offering"), Hermine Wekerle has acquired indirect ownership and control over 1,333,333 Common Shares at a price of $3.75 per Common Share for an aggregate purchase price of $4,999,998.75.
As a result of this acquisition, Ms. Wekerle now owns, directly and indirectly, 6,971,308 common shares on a fully diluted basis, representing approximately 17.05% of the total outstanding shares of DCF on a partially diluted basis assuming the exercise or conversion, as applicable, of only Ms. Wekerle's securities.
Ms. Wekerle acquired the Common Shares for investment purposes. Ms. Wekerle may in the future take such actions in respect of her holdings as deemed appropriate in light of the circumstances then existing, including the purchase of additional securities of DCF through open market purchases or privately negotiated transactions, or the sale of all or a portion of her holdings in the open market or in privately negotiated transactions to one or more purchasers.
