A shareholder has filed legal action for annulment and declaratory relief
against a resolution passed by the Annual General Meeting
Bad Neustadt a. d. Saale, 1 August 2013
According to Section 246 para. 4 sentence 1 AktG we have submitted today a
notification for publication to the Federal Gazette ('Bundesanzeiger')
that a shareholder has filed legal action for annulment (Section 246 AktG)
and declaratory relief ('positive Beschlussfeststellungsklage') against a
resolution passed by the Annual General Meeting held on 12 June 2013:
The legal action is directed against the resolution regarding item 7 of the
agenda (Amendment of the articles of association by way of deletion of
Section 17, para. 4, first sub-paragraph).
The legal action is pending before the Regional Court (Landgericht) of
Nürnberg-Fürth, 1st chamber for commercial matters, under case no. 1 HK O
5266/13. The court has ordered written proceedings and thus not scheduled
a date for a hearing.
