SINGAPORE/HUIZHOU, 3 September 2013: GCPC (ISIN SG9999005052 / WKN A0MZS3 /
Ticker 49G)
NOTICE IS HEREBY GIVEN that an Extraordinary General Meeting ('EGM') of the
Company be held at Green Precision Components (Huizhou) Co. Ltd., Digital
Industrial Park, Sandong, Huizhou City, Guangdong Province, China on 8
October 2013 at 4 p.m for the purpose of considering and, if thought fit,
passing with or without modifications, the following Ordinary Resolution:
All capitalised terms in the Ordinary Resolution below and defined in the
Circular dated 3 September 2013 to the shareholders of the Company (the
'Circular') shall, unless otherwise defined herein, have the respective
meanings ascribed thereto in the Circular.
AS ORDINARY RESOLUTION
THE PROPOSED ACQUISITION OF 52.0% INTEREST IN THE REGISTERED CAPITAL OF
YUANFA MINING CO., LIMITED
Resolved that:
(1) approval be and is hereby given for the purchase of 52% of the
registered capital of Yuanfa Mining Co., Limited for an aggregate
consideration of RMB 65,208,000 (the 'Proposed Acquisition') and other
matters as set out in the Circular;
(2) the Directors of the Company be and are hereby authorised to enter into
all such transactions, arrangements and agreements and approve, execute
and deliver all documents and do all deeds and things as may be
necessary, expedient, incidental or in the interests of the Company to
give effect to the Proposed Acquisition or the transactions
contemplated by the Proposed Acquisition; and
(3) to the extent that any Director of the Company has before the date of
these resolutions executed any documents or otherwise taken an action
on behalf of the Company in connection with the Proposed Acquisition,
the same be and are hereby confirmed, ratified and approved.
If shareholders of GCPC intend to join the EGM on 8 October 2013, please
register by 24 September 2013 at the latest via your respective
agents/banks.
Participation in Extraordinary General Meeting via tele-conference
The Board of Directors of GCPC is pleased to announce that in order to
encourage greater participation by its shareholders and to facilitate
engagement between the Company and its shareholders, the Company has
arranged for tele-conference for the benefit of shareholders, or proxies
('Participants') who have submitted the participation form but are unable
to attend the EGM in China. The Participants attending the tele-conference
will be able to pose questions to the Company's management, to comment on
the issues on the EGM's agenda and to vote on the resolution as set out in
the Notice of EGM. The details of the tele-conference arrangement will be
posted on the Company's website at a later date.
