Invitation to the Annual General Meeting
We invite our shareholders to attend the Annual General Meeting which will be held on Friday, 13 September 2013, at 02:00 pm at the Westin Grand Frankfurt Hotel, Konrad-Adenauer-Str. 7, 60313 Frankfurt am Main.
Agenda
Item 1:
Presentation of the established annual financial statement for the financial year 2012, the approved consolidated financial statement for the year 2012 and the Board of Directors' report
These documents can be viewed online at http://www.haldanemccallplc.com/.
They will be sent to shareholders free of charge upon request. The documents will also be available at the Annual General Meeting.
In accordance with the statutory provisions, no resolution is to be passed with regard to item 1 of the agenda.
Item 2:
Resolution concerning the distribution of an interim dividend
The Board of Directors proposes the distribution of an interim dividend of EUR 0.01 per share.
Item 3:
Resolution concerning the discharge of the Board of Directors for the financial year 2012
The Board of Directors and the Supervisory Board propose to grant discharge to the members of the Board of Directors for their work in the financial year 2012.
Item 4:
Resolution concerning the appointment of the auditor for the financial year 2013
The Supervisory Board proposes to appoint Ayoolda Oldadeji and Co. (Ikeja, Lagos/Nigeria) as auditor for the financial year 2013.

Total number of shares and voting rights at the time of the calling of the shareholders' meeting
The company's share capital amounting to EUR 71.465.095 is, at the calling of the shareholders' meeting, divided into 57.487.551 no-par value bearer shares and 400.000 preference shares with one vote per share. The company currently does not hold any own shares.
Requirements for the entitlement to participate in the Annual General Meeting
Entitled to participate in the Annual General Meeting of Haldane McCall Plc and to exercise their voting rights are those shareholders who register prior to the Annual General Meeting and prove their entitlement. Shareholders may register and prove their entitlement by fax to the KochBank GmbH up until (and including) Thursday, 12 September 2013: 069 / 13 81 21 21.
The proof of share ownership, which constitutes the entitlement, must be a certificate issued by the custodian institute in text form and written in German or English.
Proxy voting
In addition, we point out that every shareholder may have his/her voting rights exercised by a representative with written authorization, e.g. a credit institution or a shareholders’ association. The original authorization documents must be able to be presented at the shareholders' meeting.
